Terms of Service
1. Acceptance
By creating an account or using Queringo (the 'Service'), you agree to these Terms of Service ('Terms') and our Privacy Policy. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have that authority, do not accept these Terms.
2. The service
Queringo is an AI-powered business intelligence platform. It connects to your data sources using read-only credentials, translates natural-language questions into SQL, returns results as charts with AI-generated insights, and lets you build dashboards and automated alerts on those results.
We may update, modify, or discontinue features of the Service with reasonable notice. We will notify you of any changes that materially reduce the functionality you rely on.
3. Accounts, workspaces, and members
An Account is the top-level entity associated with your company and its billing relationship. Each Account contains one or more Workspaces. A Workspace holds data sources, conversations, dashboards, alerts, and insights. Members belong to Workspaces and have a permission group (Admin, Member, Viewer, or a custom group) within each.
You are responsible for:
- All activity that occurs under your Account and its Workspaces
- Maintaining the confidentiality of your login credentials
- Ensuring that your members' use of the Service complies with these Terms
- Ensuring you have the right to connect and query the data sources you add
4. Plans and billing
Subscriptions are charged monthly or annually in advance through our payment provider. Seats and AI token usage aggregate across all Workspaces under an Account. Plans renew automatically until cancelled. If payment fails three times, your Account moves to read-only mode: existing dashboards are viewable but queries are paused and no new alerts fire.
You may cancel at any time from Settings under Billing. You retain access through the end of the paid period. Token top-ups are charged on purchase, stay available in your account until consumed, and are non-refundable after use.
Seat limits are enforced per plan. Attempts to invite members beyond the plan seat cap return an error with an upgrade prompt. You can add seats at any time from the Billing page; additional seats are pro-rated.
4a. Billing terms summary
The conditions below apply to every plan change, top-up, promotion code, and cancellation initiated from Settings, under Billing. They sit alongside the broader billing terms in Section 4.
- Upgrades apply immediately. We charge a prorated amount for the rest of the current cycle.
- Downgrades take effect at the end of the current billing cycle. You keep your current caps until then.
- Annual plans are billed once per year and cannot be partially refunded mid-term.
- Promotion codes apply on the next plan change and do not stack with another discount on the same subscription.
- Top-up tokens stay available in your account until used. They do not expire when the cycle renews.
- Cancelling stops auto-renewal. You keep access until the end of the paid period, then enter a 90-day data-retention window before the account is purged.
5. Acceptable use
You agree not to:
- Use the Service to access data sources you are not authorised to query
- Reverse-engineer, decompile, or attempt to extract the source code or underlying models of the Service
- Use the Service to generate, store, or transmit illegal, harmful, or harassing content
- Circumvent rate limits, access controls, seat caps, or billing enforcement
- Resell, sublicense, or white-label the Service without a separate written agreement
- Use the Service in a way that violates any applicable law or regulation
We reserve the right to suspend or terminate accounts that violate these Terms immediately and without prior notice in cases of severe or repeated violation.
6. Intellectual property
You retain all rights to your data, including the queries you submit, the SQL we generate on your behalf, and the results returned from your sources. Queringo retains all rights to the platform software, AI pipeline, infrastructure, and documentation.
You grant Queringo a limited, non-exclusive licence to process your data solely to provide and improve the Service for you. We do not use your data to train AI models or share it with third parties except as described in our Privacy Policy.
6a. Third-party trademarks
Queringo connects to third-party products and services. The names, logos, and brand icons of those products (for example the data-source connectors shown when you add a source) are the trademarks or registered trademarks of their respective owners. They are displayed solely to identify the product a connector integrates with.
Queringo is not affiliated with, endorsed by, or sponsored by those owners, and their marks are used under nominative (referential) fair use. We make no claim of ownership to any third-party mark, and your right to use the Service grants you no rights in those marks. If you are a brand owner and would like your mark displayed differently or removed, email legal@queringo.com and we will accommodate reasonable requests.
7. Data and privacy
Data handling is governed by our Privacy Policy. For Scale and Enterprise customers, a Data Processing Addendum (DPA) is available and incorporates the EU Standard Contractual Clauses to satisfy GDPR Article 28 requirements. Email legal@queringo.com to request a signed DPA.
7a. Deep analysis (optional data storage)
By default, Queringo answers questions about your connected SaaS sources by querying the provider's API at the time of each question, and does not store that data at rest. 'Deep analysis' is an optional, per-source feature you can turn on to let Queringo answer more complex questions (joins across records, per-customer drill-downs, follow-up questions, and historical aggregates) faster.
When you enable Deep analysis for a source, you authorize Queringo to retrieve and store an encrypted copy of that source's data on our servers, used solely to generate answers for your workspace. The stored copy may include personal data of your customers or end users (for example, names and email addresses) contained in that source.
- Encryption: the copy is encrypted at rest with a per-source key derived from your workspace encryption key, and encrypted in transit over TLS.
- Access: the copy is accessible only to your workspace, subject to your members' permissions, and fields flagged as personal or financial remain masked for members without reveal permission.
- Location: the copy is stored in the region shown to you when you enable the feature. We do not transfer it to another region without an appropriate transfer mechanism, such as the EU Standard Contractual Clauses.
- Retention: the copy is refreshed periodically, and is deleted when you turn the feature off, disconnect the source, or delete your workspace.
- Audit: enabling, disabling, and each read of the stored copy are recorded in your workspace audit log.
You may turn Deep analysis off at any time, which deletes the stored copy. If you are a data controller subject to the GDPR, UK GDPR, or similar laws, your use of this feature is governed by our Data Processing Addendum (see Section 7). Please request a signed DPA at legal@queringo.com before enabling Deep analysis for personal data of individuals in the EU or UK.
7b. Customer data from connected sources
When you connect a SaaS source (for example a commerce platform such as Shopify), it may include personal data of your own customers. For that data you are the data controller and Queringo is your processor: we process it only to provide analytics to you and on your instructions, whether we query it live or store it under Deep analysis (Section 7a). We apply data minimisation, reading only the fields needed for analysis, such as names, email, and coarse geography (city, region, and country), and we do not read street addresses, postal codes, or phone numbers.
You are responsible for having a lawful basis and any notices or consents required to make that data available to Queringo. We honour deletion and redaction signals from the connected platform, so when it notifies us that a customer or shop must be erased, we purge the corresponding stored data. The processor terms in our Data Processing Addendum govern this data.
8. Service availability
Enterprise plans include a 99.9% monthly uptime SLA covering the core API and query execution pipeline. Starter and Growth plans receive best-effort availability. Planned maintenance is announced at least 48 hours in advance. SLA credits are the sole and exclusive remedy for downtime events.
9. Termination
Either party may terminate the agreement at any time. On termination, your data enters the grace period described in the Privacy Policy before permanent deletion. Queringo may terminate immediately for material breach, non-payment following the dunning period, or serious violations of the acceptable use policy.
10. Limitation of liability
To the maximum extent permitted by applicable law, Queringo's total liability for any claim arising out of or related to these Terms is limited to the fees you paid in the twelve months preceding the claim. Queringo is not liable for indirect, incidental, consequential, special, or punitive damages, even if we have been advised of the possibility of such damages.
Queringo makes no warranty that the Service will be uninterrupted, error-free, or completely secure. The Service is provided 'as is' and 'as available' except as expressly stated in an uptime SLA.
11. Governing law and disputes
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to personal jurisdiction in those courts.
